Effective Date: Jul 1, 2026
Welcome to Sentinel Insights.
These Terms of Use ("Terms") govern your access to and use of the websites, software applications, APIs, artificial intelligence features, products, services, and other offerings (collectively, the "Services") provided by Sentinel Insights Holdings, Inc. ("Sentinel Insights," "Sentinel," "we," "our," or "us").
Please read these Terms carefully before accessing or using the Services.
By accessing, browsing, registering for, purchasing, or using any portion of the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that organization to these Terms. In that case, references to "you" and "your" refer to both you and the organization you represent.
If you do not agree to these Terms, you may not access or use the Services.
These Terms constitute a legally binding agreement between you and Sentinel Insights.
2. Enterprise Agreements
These Terms govern general access to and use of the Services.
If you or your organization enters into a separate written agreement with Sentinel Insights—such as a Master Services Agreement, Order Form, Subscription Agreement, Statement of Work, Data Processing Addendum, or other executed contract—that agreement will control to the extent it conflicts with these Terms for the products and services covered by that agreement.
Nothing in these Terms modifies or replaces any separately executed written agreement
between you and Sentinel Insights unless expressly stated in writing.

You agree to:
- Provide accurate, current, and complete registration information;
- Keep your account information updated;

4. Accounts and Registration
Some Services are provided under paid subscription plans, while others may be offered on a free, trial, promotional, or beta basis.
Your subscription, usage limits, billing terms, renewal terms, and any applicable fees are governed by your Order Form, online purchase, or other applicable agreement.
Certain AI-powered features are measured using AI Credits.
AI Credits represent units of computing resources consumed when using AI-powered functionality, including but not limited to investigations, summaries, rule generation, data categorization, report generation, natural language queries, and other intelligent features.
Unless otherwise stated:
- AI Credits refresh at the beginning of each billing period and do not roll over.
- Unused AI Credits expire at the end of the applicable billing period.
- Sentinel may establish reasonable usage limits to protect the availability, security, and performance of the Services.
- Additional AI Credits or expanded usage may require the purchase of an upgraded subscription or additional capacity.
Sentinel reserves the right to modify AI Credit allocations, pricing models, or consumption methodologies as AI technologies evolve, provided that such changes will not materially reduce prepaid subscription entitlements during the then-current subscription term.
5. Subscription Plans and AI Credits
You agree to use the Services only for lawful purposes and in accordance with these Terms.

If your use materially degrades platform performance or exceeds reasonable operational limits, Sentinel may temporarily limit, suspend, or require you to modify your usage after providing reasonable notice when practicable.
6. Acceptable Use
Certain Services include artificial intelligence ("AI Features") that use machine learning models and other automated technologies to assist users in analyzing data, generating summaries, identifying patterns, producing recommendations, creating rules, categorizing technologies, answering questions, or performing similar tasks.
AI Features are intended to assist—not replace—human judgment.
Accuracy of AI Outputs
AI-generated responses may contain inaccuracies, omissions, outdated information, or incorrect conclusions.
You are solely responsible for reviewing, validating, and independently evaluating any AI-generated output before relying upon it for legal, regulatory, compliance, business, security, or operational decisions.
The Services are not intended to provide legal advice, regulatory opinions, financial advice, or professional consulting.
No Guarantee of Compliance
Although Sentinel helps organizations monitor digital privacy, consent, data quality, and governance, Sentinel does not represent or warrant that use of the Services will:
- ensure compliance with any law or regulation;
- eliminate legal risk;
- prevent enforcement actions or litigation;
- identify every issue affecting your websites or applications; or
- guarantee any particular business outcome.
Customers remain solely responsible for their own compliance obligations and implementation decisions.
Third-Party AI Providers
Certain AI Features may be powered by third-party artificial intelligence providers.
Those providers may change from time to time as technology evolves.
Sentinel may add, replace, or discontinue AI providers without notice, provided such changes do not materially reduce the functionality of your paid subscription during the applicable subscription term.
AI Credits
Use of AI Features may consume AI Credits or other usage allocations associated with your subscription.
Sentinel may limit AI usage where necessary to protect platform stability or prevent abuse.
Beta AI Features
AI capabilities identified as beta, preview, experimental, or early access are provided on an "as available" basis and may be modified, suspended, or discontinued at any time.
7. Artificial Intelligence Features

Unless expressly agreed in writing, you agree not to intentionally submit or configure the Services to collect highly sensitive personal information, including payment card information, government-issued identification numbers, authentication credentials, protected health information, or other categories of sensitive data that are not necessary for the Services.
If you become aware that such information has been inadvertently collected through the Services, you agree to notify Sentinel promptly so that appropriate remediation measures may be taken.
8. Customer Data and Privacy

Sentinel may perform scheduled maintenance from time to time and will use commercially reasonable efforts to minimize customer disruption.
Support services are provided in accordance with your applicable subscription plan or separately executed agreement. Customers with enterprise agreements may be entitled to additional support commitments or service level agreements.
14. Availability, Maintenance, and Support
Sentinel may suspend or restrict your access to all or part of the Services immediately if we reasonably determine that:
- your use presents a security risk to the Services or other customers;
- you have materially violated these Terms;
- your account has been compromised;
- continued access could expose Sentinel or others to legal liability;

15. Suspension of Services
These Terms remain in effect until terminated by either you or Sentinel.
You may stop using the Services at any time. If you maintain an account, you may request that your account be closed by contacting Sentinel.

Sections that by their nature should survive termination—including Intellectual Property, Confidentiality, Payment Obligations, Feedback, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Miscellaneous—will survive termination.
16. Termination
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENTINEL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Without limiting the foregoing, Sentinel does not warrant or guarantee that:
- the Services will identify every privacy, security, consent, governance, or data quality issue;
- the Services will detect every technology operating on your websites or applications;

The Services are designed to assist organizations in identifying and managing digital governance risks. They do not replace legal counsel, privacy professionals, cybersecurity experts, auditors, or other qualified advisors.
You remain solely responsible for your compliance decisions, implementation of recommendations, website configurations, privacy notices, consent mechanisms, security controls, and business operations.
17. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SENTINEL, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, LOSS OF BUSINESS OPPORTUNITY, LOSS OF DATA, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Except for liability that cannot legally be limited, Sentinel's aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of:
- the total fees paid by you to Sentinel during the twelve (12) months immediately preceding the event giving rise to the claim; or
- one hundred U.S. dollars (US $100) if you are using a free version of the Services.
The limitations in this Section apply regardless of the legal theory under which the claim is brought, including contract, tort, negligence, strict liability, or otherwise.
- Nothing in these Terms limits liability for:
- fraud or fraudulent misrepresentation;
- willful misconduct;
- death or personal injury caused by negligence where such limitation is prohibited by law;
- infringement or misappropriation of intellectual property rights; or
- any liability that cannot legally be excluded or limited.
18. Limitation of Liability
You agree to defend, indemnify, and hold harmless Sentinel, its affiliates, officers, directors, employees, contractors, licensors, and agents from and against any third-party claims, demands, actions, investigations, liabilities, damages, judgments, settlements, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- your use of the Services;
- your Customer Data;
- your violation of these Terms;
- your violation of applicable law;
- your infringement of any intellectual property or other rights of a third party; or
- your negligence or willful misconduct.
Sentinel reserves the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate fully in the defense of such matter.
19. Indemnification
You represent and warrant that neither you nor any person or entity using the Services through your account is:
- located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive trade sanctions or embargoes imposed by the United States or other applicable governmental authorities;
- identified on any applicable restricted party or sanctions list; or
- otherwise prohibited from receiving the Services under applicable export control or sanctions laws.
You agree not to export, re-export, transfer, or otherwise make the Services available in violation of applicable export control, sanctions, or trade laws.
Sentinel may suspend or terminate access if continued provision of the Services would violate applicable law.
20. Export Controls and Sanctions
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.
Except where prohibited by applicable law, any legal action arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Delaware, and each party irrevocably submits to the jurisdiction of those courts.
Nothing in these Terms prevents either party from seeking temporary or permanent injunctive relief to protect its intellectual property, confidential information, or other proprietary rights.
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
21. Governing Law and Dispute Resolution
Sentinel continuously improves and evolves the Services.
We may add, modify, replace, suspend, or discontinue features, functionality, integrations, technologies, AI capabilities, or portions of the Services at any time.
We may also update these Terms from time to time to reflect changes in our business, technology, legal requirements, or the Services.
When we make material changes, we will update the "Effective Date" at the top of these Terms and may provide additional notice through the Services, email, or other reasonable means.
Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the updated Terms.
If you do not agree to the revised Terms, you must discontinue use of the Services.
22. Changes to the Services and These Terms
These Terms constitute the entire agreement between you and Sentinel regarding your use of the Services unless superseded by a separately executed written agreement.
Neither party's failure to enforce any provision of these Terms will constitute a waiver of that provision or any other provision.
You may not assign or transfer these Terms without Sentinel's prior written consent. Sentinel may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of substantially all of its assets.
Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, labor disputes, internet outages, cyberattacks, failures of third-party infrastructure providers, or other force majeure events.
Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, or employment relationship between the parties.
Section headings are provided for convenience only and do not affect interpretation.
These Terms may be executed electronically where applicable, and electronic records and signatures will have the same legal effect as originals.
No third party is intended to be a beneficiary of these Terms unless expressly stated otherwise.
